TERMS OF SERVICE

1. INTRODUCTION AND DEFINITIONS

These Terms of Service (“Terms of Service”, “Terms and Conditions, “Terms”) constitute a binding agreement between Voyagr Travel Inc. (“Voyagr,” “we,” “us,” or “our”) and any user who accesses, registers, or utilizes the Voyagr Platform (the “Platform”), including Travel Agents/Advisors, their affiliated businesses, and Travelers whose data may be entered in connection with bookings. By using the Platform, you agree to comply with and be bound by these Terms. If you do not agree, you must not use the Platform.

1.1. DEFINITIONS

  • “Platform” means the Voyagr website (voyagr.travel), related domains, mobile applications, APIs, and services.

  • “Agent/Advisor” means a verified travel professional who registers and uses the Platform to facilitate travel bookings.

  • “Traveler” means an individual on whose behalf a booking is made through an Agent/Advisor.

  • “Suppliers” means airlines, hotels, rental car companies, tour operators, and other travel-related service providers.

  • “Personal Data” has the meaning assigned under GDPR, CCPA, and applicable privacy laws.

  • “Services” means any features or functionalities of the Platform, including booking, payment, customer support, communications, and CRM tools.

2. ELIGIBILITY & VERIFICATION

  • 2.1. The Platform is accessible only to verified travel agents/advisors. Verification may include identity checks, professional credentials, licensing documentation, and business details.

  • 2.2. We reserve the right to deny or revoke access at any time if verification fails or if fraudulent, misleading, or unauthorized activity is detected.

  • 2.3. Agents/Advisors must be at least 18 years of age (or the legal majority age in their jurisdiction).

3. SCOPE OF SERVICES

3.1. Nature of Services

Voyagr provides a technology-driven multi-supplier booking platform with an integrated Customer Relationship Management (CRM) system for verified travel agents and advisors. The Platform enables Agents to access travel inventory from third-party Suppliers, process bookings, manage client data, process payments, and track commissions.

3.2. Agent-Facing Services

  • I. Supplier Access

    • Agents gain access to airlines, hotels, car rental companies, and other travel suppliers integrated into the Platform.

  • II. CRM & Client Management

    • Agents may create and maintain Traveler profiles, record preferences, itineraries, and history.

  • III. Payment Processing

    • Voyagr facilitates payments through secure third-party processors (e.g., Stripe).

  • IV. Commission Management

    • Agents are entitled to commissions from certain bookings, calculated and paid in accordance with the commission structure published on the Platform.

  • V. Analytics & Reporting

    • Agents may access usage reports, booking data, and client engagement insights.

3.3. Traveler-Facing Services

  • I. Voyagr does not contract directly with Travelers. All services to Travelers are provided through verified Agents.

  • II. Traveler data is collected and processed solely for booking purposes and remains subject to applicable privacy laws.

  • III. Any support, refund requests, or complaints from Travelers must be directed to their Agent, who may escalate issues to Suppliers or Voyagr as needed.

3.4. Limitations of Services

  • I. No Direct Supplier Role

    • Voyagr does not itself operate airlines, hotels, or other travel services. All bookings are fulfilled by third-party Suppliers, whose terms and conditions govern the specific transaction.

  • II. No Consumer Travel Agency

    • Voyagr is not a retail travel agency or public booking site. Only verified travel professionals may use the Platform.

  • III. No Guarantee of Availability

    • Inventory, pricing, and availability are controlled by Suppliers and may change without notice.

  • IV. No Medical or Risk Guarantee

    • Voyagr does not provide health advice, risk assessment, or guarantees regarding travel safety, entry restrictions, or insurance coverage. Agents are responsible for advising Travelers on such matters.

3.5. Future Services

We may introduce additional features such as subscription models, expanded supplier integrations, loyalty programs, or consumer-facing services. Such services will be subject to these Terms and any supplemental terms issued at launch.

4. RESPONSIBILITIES OF PARTIES

The use of the Voyagr Platform involves three primary parties: Voyagr Travel Inc. (“Voyagr”), Travel Agents/Advisors (“Agents”), and Travelers (end-customers of Agents). Each party has distinct responsibilities that are critical for the lawful, secure, and effective use of the Platform.

4.1. Responsibilities of Voyagr

Voyagr undertakes the following duties to ensure proper functioning and compliance of the Platform:

  • I. Platform Access

    • i. Provide and maintain secure, continuous access to the Platform.

    • ii. Ensure robust hosting, authentication, and data storage via trusted providers.

    • iii. Implement redundancy and uptime measures to minimize service disruption.

  • II. Supplier and Agent Interfacing

    • i. Facilitate secure connections between Agents and Suppliers.

    • ii. Present accurate Supplier information (availability, pricing, policies) as provided by Suppliers.

    • iii. Ensure booking requests are transmitted promptly to Suppliers.

  • III. Legal Compliance

    • i. Comply with global privacy frameworks, including GDPR, CCPA/CPRA, LGPD, PIPEDA, and PDPA.

    • ii. Ensure processing of Traveler data is limited to what is necessary for fulfilling bookings.

  • IV. Security Safeguards

    • i. Employ encryption for data at rest and in transit.

    • ii. Implement access controls, audits, and security monitoring.

  • V. Support & Incident Response

    • i. Provide customer support channels for Agents during business hours or as otherwise published.

    • ii. Establish an incident response plan to address data breaches, fraud, or system outages.

    • iii. Notify Agents in a timely manner of material incidents affecting the Platform.

4.2. Responsibilities of Travel Agents

Agents are professional users of the Platform and assume specific obligations:

  • I. Accuracy & Truthfulness of Information

    • i. Provide correct and up-to-date details during registration, including verification documents.

    • ii. Notify Voyagr of changes to business credentials, licensing, or regulatory standing.

  • II. Traveler Data Collection & Consent

    • i. Collect Traveler information lawfully, ensuring all necessary consents are obtained.

    • ii. Provide Travelers with appropriate privacy disclosures before entering their data into the Platform.

    • iii. Refrain from inputting unnecessary or sensitive data beyond what is required for bookings.

  • III. Professional & Lawful Use of Platform

    • i. Use the Platform exclusively for professional travel services.

    • ii. Prohibited uses include personal leisure bookings (unless explicitly allowed), fraudulent activities, scraping, or reverse-engineering.

    • iii. Agents remain responsible for their employees, contractors, or sub-users accessing the account.

  • IV. Account Security

    • i. Maintain confidentiality of usernames, passwords, and access credentials.

    • ii. Immediately report unauthorized access, lost devices, or suspected breaches.

  • V. Financial Obligations

    • i. Ensure timely payment of fees owed to Voyagr, including commissions or service charges where applicable.

    • ii. Maintain accurate billing information and authorize secure payment processing.

    • iii. Accept liability for chargebacks resulting from fraudulent or unauthorized transactions by their Travelers.

  • VI. Legal & Regulatory Compliance

    • i. Comply with all applicable laws, including but not limited to consumer protection, data protection, anti-money laundering (AML), sanctions, and export control regulations.

    • ii. Ensure compliance with any licensing or registration requirements in their jurisdiction as professional travel agents.

    • iii. Retain appropriate insurance coverage where required by law or industry standards.

4.3. Responsibilities of Travelers

  • I. Acknowledgment of Platform Role

    • i. Understand that Voyagr is a B2B intermediary providing services to Agents and does not act as a direct travel agency or Supplier.

    • ii. Recognize that all bookings are subject to Supplier terms and conditions, including cancellation, modification, and refund rules.

    • iii. Provide complete and truthful information to their Agent to facilitate bookings.

    • iv. Ensure names, passport details, payment methods, and travel preferences are correct and valid.

    • v. Notify their Agent promptly of changes that may affect bookings (e.g., passport expiration, visa denial).

  • III. Resolution of Disputes

    • i. Address complaints, cancellations, or service issues directly with their Agent.

    • ii. Understand that refunds or remedies depend on Supplier policies, not Voyagr.

    • iii. Seek independent travel or medical insurance as Voyagr does not provide such coverage.

5. SERVICE USAGE RULES

5.1. Lawful Use Only

Users, Agents, Advisors, and any third parties accessing the Platform must use it strictly in accordance with all applicable local, national, and international laws, regulations, and treaties. The Platform may not be used for any fraudulent, unlawful, exploitative, or harmful purpose, including but not limited to: human trafficking, drug trafficking, terrorism financing, money laundering, tax evasion, or violations of sanctions imposed by the United Nations, the European Union, the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), or other competent authorities.

5.2. Prohibited Conduct

Users, Agents, and Advisors shall not:

  • i. Attempt to access, interfere with, damage, or disrupt any part of the Platform, its servers, networks, or supporting infrastructure.

  • ii. Engage in unauthorized scraping, data mining, reverse engineering, malware injection, denial-of-service attacks, or any other action that compromises the security, integrity, or availability of the Platform.

  • iii. Impersonate Voyagr, its employees, affiliates, or partners; misrepresent any affiliation, or present false or misleading information in any medium, including advertising or communications with prospective clients.

  • iv. Upload, post, or transmit any material that contains viruses, corrupted data, or any other harmful code intended to disrupt or damage software, hardware, or communications equipment.

  • v. Circumvent, disable, or otherwise interfere with security features of the Platform, including features that restrict copying of content, enforce usage limitations, or protect proprietary intellectual property rights.

5.3. Automated Access Restrictions

Use of automated bots, spiders, scripts, or non-human systems to access or interact with the Platform is strictly prohibited unless prior express written authorization is obtained from Voyagr. Authorized integrations (e.g., API access or plug-ins) must comply with Voyagr’s technical and security standards, and violations may result in immediate suspension or termination of access rights.

5.4. Content Standards

  • i. Any content uploaded or shared on the Platform by Agents or Advisors must be accurate, lawful, and not misleading.

  • ii. Voyagr reserves the right, but not the obligation, to monitor, remove, or restrict access to any content deemed unlawful, defamatory, discriminatory, obscene, infringing, or otherwise in violation of these Terms.

5.5. Compliance Obligations

Agents and Advisors are individually responsible for ensuring compliance with all travel industry regulations, licensing requirements, and consumer protection standards applicable in their jurisdiction. Any violation of these Service Usage Rules may result in suspension, account termination, forfeiture of unpaid commissions, and potential legal action.

6. PAYMENTS, FEES & COMMISSIONS

6.1. Payment and Compensation

  • i. All payments for bookings are processed securely through third-party providers such as Stripe, PayPal, or other PCI DSS–compliant financial intermediaries.

  • ii. Voyagr does not store complete credit card numbers, security codes, or other sensitive payment credentials on its servers.

  • iii. Commissions payable to Agents and Advisors are calculated as a percentage of the net booking amount after applicable taxes, service fees, and third-party charges.

  • iv. Disbursements will be made only after the booking has been successfully completed. Voyagr has verified the transaction as legitimate and free of fraud. The relevant Supplier has confirmed service delivery.

  • v. Voyagr reserves the right to withhold or delay payments in cases of suspected fraud, disputes, cancellations, or legal/regulatory investigations.

6.2. Taxes and Reporting Obligations

  • i. Agents and Advisors are independently responsible for determining, reporting, and remitting any applicable income, VAT, GST, or other taxes in their respective jurisdictions.

  • ii. Voyagr does not provide tax advice and shall not be liable for any penalties or liabilities resulting from an Agent’s or Advisor’s failure to comply with tax obligations.

6.3. Refunds, Chargebacks, and Cancellations

  • i. Refunds, cancellations, and chargebacks are governed by the Supplier’s policies (e.g., hotel, airline, tour operator).

  • ii. Voyagr acts only as an intermediary and is not liable for the failure of Suppliers to perform or honor bookings.

  • iii. Where refunds are approved by Suppliers, Voyagr will facilitate the process but may deduct applicable fees, commissions, or non-refundable charges.

6.4. Non-Payment and Set-Off Rights

If an Agent or Advisor owes any fees, penalties, or reimbursements to Voyagr, Voyagr reserves the right to set off such amounts against any commissions payable. Failure to resolve outstanding balances may result in suspension or permanent termination of the account.

6.5. Currency and Exchange Rates

All transactions are processed in the currency specified at the time of booking. Currency conversions may apply for cross-border transactions and are subject to the prevailing rates and fees charged by payment processors or financial institutions. Voyagr assumes no liability for fluctuations or conversion charges.

6.6. Fraud Prevention & Anti-Money Laundering

Voyagr reserves the right to conduct identity verification, due diligence checks, and enhanced monitoring of payment transactions to comply with anti-money laundering (AML) and counterterrorism financing (CTF) obligations. Suspicious or unlawful activity may be reported to appropriate law enforcement or regulatory agencies.

7. DISCLAIMERS

7.1. General Platform Disclaimer

The Voyagr Platform is provided on an “as-is” and “as-available” basis without warranties of any kind, whether express, implied, or statutory. Voyagr does not guarantee uninterrupted access, error-free functionality, or absolute security of the Platform. Users accept that occasional downtime, technical errors, or disruptions may occur. Voyagr expressly disclaims any warranties regarding the accuracy, completeness, or reliability of content, listings, prices, availability, or information provided by third-party Suppliers.

7.2. Supplier Performance Disclaimer

Voyagr acts strictly as an intermediary between Users, Agents/Advisors, and travel Suppliers such as hotels, airlines, and tour operators. All travel services are provided directly by third-party Suppliers, and Voyagr has no responsibility for non-performance, cancellation, overbooking, substitution, or bankruptcy of Suppliers, nor for the quality, safety, or suitability of accommodations, transportation, excursions, or other travel-related products. Users acknowledge that any claims or disputes relating to travel services must be directed to the relevant Supplier, not Voyagr.

7.3. Payment Disclaimer

Payments are processed by independent third-party providers such as Stripe, PayPal, or equivalent PCI DSS–compliant entities, and Voyagr does not directly process or retain full payment credentials. Voyagr is not responsible for delays, errors, or failures in payment processing caused by financial institutions, banks, or payment intermediaries, nor for currency fluctuations, exchange fees, or additional charges imposed by credit card companies or banks. Commissions owed to Agents/Advisors are subject to successful completion of bookings, Supplier confirmation, and anti-fraud verifications.

7.4. Legal Disclaimer

Voyagr provides a technology platform and does not itself operate airlines, hotels, transport, or tour services. All bookings are subject to the terms and conditions of the Suppliers. Voyagr disclaims liability for third-party service quality, delays, cancellations, overbookings, accidents, or force majeure events.

7.5. Liability Disclaimer

The Platform is provided “as is” and “as available,” without warranties of any kind, express or implied. To the fullest extent permitted by law, Voyagr disclaims all liability for direct, indirect, incidental, or consequential damages, including but not limited to lost profits, service interruptions, or data loss. Our maximum aggregate liability in any case shall not exceed the fees paid by the Agent for the specific service giving rise to the claim.

7.6. Medical Disclaimer

Voyagr does not provide medical advice, health risk assessments, or travel health services. Agents and Travelers are solely responsible for consulting qualified medical professionals prior to travel (e.g., vaccinations, medications, or health conditions). We disclaim responsibility for medical issues, pandemics, or health risks associated with travel.

7.7. Liability Limitation Disclaimer

To the maximum extent permitted by law, Voyagr disclaims all liability for direct, indirect, incidental, consequential, punitive, or special damages arising out of or related to use of the Platform, payments, Supplier services, or third-party content. This includes loss of profits, goodwill, data, or business opportunities, whether foreseeable or not. Voyagr’s aggregate liability to any User, Agent, or Advisor shall not exceed the lesser of the total amount paid by the User for the disputed booking.

8. TERMINATION

We may suspend or terminate access without notice for breach of these Terms, fraudulent activity, or legal/regulatory non-compliance. Agents may terminate accounts at any time by written request; outstanding obligations will survive termination.

9. INTELLECTUAL PROPERTY

All content, branding, software, and trademarks of Voyagr are protected by intellectual property laws. Agents are granted a limited, revocable, non-exclusive license to use the Platform for its intended purposes only. Unauthorized reproduction, redistribution, or modification is strictly prohibited.

10. DATA PRIVACY

The collection, use, and processing of data are governed by our Privacy Policy, which forms part of these Terms. Key provisions include the collection of Agent and Traveler data for verification, booking, payment, and compliance, as well as the sharing of Traveler data with Suppliers to facilitate bookings. International data transfers are subject to Standard Contractual Clauses (SCCs) or equivalent safeguards.

11. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of the United States of America without regard to conflicts of law principles. Disputes shall first be attempted to be resolved amicably through written notice and negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of American Arbitration, unless prohibited by applicable law.

12. FORCE MAJEURE

We are not liable for delays, interruptions, or failures caused by circumstances beyond reasonable control, including but not limited to natural disasters, strikes, wars, cyberattacks, pandemics, or government restrictions.

13. MODIFICATIONS

We reserve the right to amend these Terms at any time. Material changes will be notified to registered Agents/Advisors. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
