Affiliate Program Agreement

This Affiliate Program Agreement (“Agreement”) is entered into between Voyagr Travel Inc., a Delaware corporation with offices at 244 5th Ave, Suite #1863, New York, NY 10001 (“Voyagr,” “we,” “us”), and the person or entity enrolling as an affiliate (“Affiliate,” “you”). By enrolling in or participating in the Voyagr Affiliate Program (the “Program”), you agree to this Agreement. If you do not agree, do not enroll.

1. Definitions

2. Enrollment and Eligibility

2.1 You must provide accurate enrollment information and keep it current. We may approve or decline any application at our discretion.

2.2 You must be at least 18 and legally able to enter this Agreement. Employees, contractors, and immediate family of Voyagr are not eligible to earn Commissions on their own or related purchases.

2.3 We may operate separate program groups (for example, for our own customers referring others). This Agreement governs the Affiliate group only; customer referral groups are governed by separate referral terms for Voyagr Travel and Voyagr Studio.

3. License and Promotion

3.1 We grant you a limited, non-exclusive, revocable license to use your Referral Link and Code and our approved names and logos (“Marks”) solely to promote the Products during the term. All goodwill from use of the Marks inures to Voyagr.

3.2 You will promote the Products lawfully, truthfully, and in a manner that reflects well on Voyagr. You are responsible for all content and channels you use.

3.3 Required disclosure. You must clearly and conspicuously disclose your affiliate relationship wherever you promote the Products, consistent with FTC guidelines and any applicable local law.

4. Commissions

4.1 Rate and duration. Subject to this Agreement, you earn a Commission of 25% of the net amount actually paid to Voyagr on Qualified Sales, as follows:

• Subscription revenue(e.g. Voyagr Travel plans; the Voyagr Studio care plan): 25% of each qualifying payment for 12 months from the Referred Customer’s first paid payment.
• One-time revenue (e.g. the Voyagr Studio website build fee): 25% of that payment, one time.

4.2 Net amount. Commissions are calculated on amounts actually received by Voyagr, excluding taxes, discounts, credits, refunds, chargebacks, and third-party payment processing fees charged to Voyagr.

4.3 Attribution.Sales are attributed on a last-click basis within a 90-day tracking window, and/or by use of your assigned discount Code. Where tracking is unavailable, incomplete, or conflicts with another affiliate’s, we determine attribution reasonably and in good faith, and our determination is final. Only sales recorded by the Program Platform are payable.

4.4 Exclusions. No Commission is earned on: free plans or trials that have not converted to paid; your own purchases or those you control; sales later refunded, canceled within a refund window, or charged back; sales generated through prohibited conduct (Section 6); and taxes, shipping, or fees.

5. Payment

5.1 Platform and method.Commissions are tracked and paid through the Program Platform. You must complete the platform’s payout onboarding (including any identity and payout-account setup) to receive payment.

5.2 Holding period. Commissions are held for 30 days after the underlying sale to account for refunds and chargebacks, and become payable only after that period if the sale remains valid.

5.3 Schedule and minimum. Approved Commissions are paid monthly, provided your payable balance meets the minimum payout threshold of $50. Balances below the threshold roll over until met.

5.5 Clawback. If a sale on which Commission was paid is later refunded, canceled, or charged back, we may deduct the corresponding Commission from future payouts or invoice you for it.

5.6 Taxes. You are solely responsible for all taxes on your Commissions. You must provide a valid tax form (e.g. W-9 / W-8BEN) when required, and we may withhold as required by law.

6. Prohibited Conduct

You will not:

• (a) bid on Voyagr trademarks or confusingly similar terms in paid search, or use Voyagr Marks in ad copy or domains without written permission;
• (b) engage in spam, unsolicited email, or messaging that violates applicable law;
• (c) use cookie stuffing, forced clicks, iframes, malware, typosquatting, or any deceptive tracking;
• (d) self-refer or generate fake, incentivized, or fraudulent sales;
• (e) make false or misleading claims about the Products, pricing, or earnings;
• (f) post Codes to unauthorized coupon, deal, or cashback sites where prohibited by us;
• (g) misrepresent your relationship with Voyagr; or
• (h) promote the Products on sites containing unlawful, infringing, hateful, or adult content.

Violation may result in withheld Commissions and termination.

7. Relationship of the Parties

You are an independent contractor. This Agreement creates no employment, partnership, joint venture, or agency relationship. You have no authority to bind Voyagr or make representations on its behalf.

8. Confidentiality

Non-public information we share about the Program (including rates, tools, and reporting) is confidential and may be used only to participate in the Program.

9. Term and Termination

9.1 This Agreement begins on your enrollment and continues until terminated.

9.2 Either party may terminate at any time, for any reason, on 7 days’ notice; we may suspend or terminate immediately for suspected fraud or breach.

9.3 On termination: your license to the Marks ends and you must stop using Referral Links, Codes, and Marks. Valid, earned Commissions for Qualified Sales before termination are paid per Section 5, except that we may withhold amounts tied to fraud or breach. Recurring Commissions cease on termination unless we state otherwise in writing.

10. Program Changes

We may modify the Program, commission rates, attribution rules, Products, or this Agreement at any time. Material changes take effect 14 days after we post them or notify you; continued participation constitutes acceptance. Changes are not retroactive to Commissions already earned.

11. Disclaimers and Limitation of Liability

11.1 The Program is provided “as is,” without warranties of any kind. We do not guarantee any level of traffic, sales, or earnings.

11.2 To the maximum extent permitted by law, Voyagr is not liable for indirect, incidental, special, or consequential damages, and our total liability under this Agreement will not exceed the total Commissions paid or payable to you in the 6 months before the event giving rise to the claim.

12. Indemnification

You will indemnify and hold Voyagr harmless from claims, losses, and expenses arising from your promotional activities, your content, your breach of this Agreement, or your violation of law or third-party rights.

13. General

13.1 Governing law. This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.

13.2 Assignment. You may not assign this Agreement without our consent; we may assign it freely.

13.3 Entire agreement; severability. This Agreement, plus any program policies we post, is the entire agreement on this subject. If any provision is unenforceable, the rest remains in effect.

13.4 Notices. We may provide notices through the partner portal or the email on your account. Notices to Voyagr should be sent to [email protected] or to the address below.

Acceptance

By enrolling in or participating in the Voyagr Affiliate Program, you acknowledge that you have read, understood, and agree to this Agreement.
